Simply Algos LLC (“Simply Algos”, “we”, “us”, or “our”) operates https://www.simplyalgos.com (the “Site”) and provides subscription-based software and related services (the “Services”). By accessing or using the Site or purchasing any of the Services, you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree to these Terms, do not access or use the Site or the Services.
OVERVIEW / ABOUT SIMPLY ALGOS
Simply Algos is a Software-as-a-Service (SaaS) company providing Pine Script–based indicators and educational technical-analysis tools for charting platforms. Our Services are intended solely for educational and informational purposes and are not financial, investment, legal, tax, or accounting advice. Simply Algos is not a trading platform, brokerage, custodian, or money transmitter and does not execute trades or hold customer funds.
ACCEPTANCE OF TERMS
By using the Site or Services, creating an account, subscribing, or purchasing any product, you agree to these Terms (and any documents they incorporate by reference). These Terms apply to all users of the Site and Services, including visitors, registered users, subscribers, and contributors.
We may modify these Terms at any time by posting the revised Terms on the Site. Changes become effective when posted. It is your responsibility to review the Terms periodically. Continued use after posting constitutes acceptance of the revised Terms.
SECTION 1 – ELIGIBILITY; ACCOUNTS; USER RESPONSIBILITY
1.1 Eligibility. You represent and warrant that you are at least the age of majority where you reside and have authority to enter into these Terms.
1.2 Account Information. To use certain Services you must register and create an account. You must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
1.3 Unauthorized Use. Notify us immediately of any unauthorized access or other security breach. We are not liable for losses due to unauthorized account activity if you fail to notify us in a timely manner.
1.4 Prohibited Uses. You may not use the Services for illegal activity or to provide financial advice, trade execution, custody, payment facilitation, or similar regulated services. See Section 9 for a non-exhaustive list of prohibited behaviors.
SECTION 2 – SERVICES & SUBSCRIPTIONS
2.1 Services. Simply Algos provides software tools, indicators, templates, and related content (“Products”). Subscription plans, pricing, and features are described on the Site. We may add, modify, or remove features at any time.
2.2 Billing & Payment. All purchases are processed through our third-party payment processor (e.g., Wix payment, Stripe). You agree to pay all fees and taxes associated with your subscription. Subscriptions renew automatically unless canceled in accordance with our cancellation policy. By subscribing you authorize us (or our payment processor) to charge your payment method.
2.3 No Custody / No Money Transmission. Simply Algos does not accept deposits on behalf of others, hold client funds, transmit or disburse customer funds, act as a payment intermediary, or provide escrow services.
SECTION 3 – TRIALS, CANCELLATION & REFUNDS
3.1 Free Trials. If we do not offer a free trial.
3.2 Cancellation. You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period.
3.3 Refunds. Our refund policy is published on the Site. Unless otherwise stated, we offer refunds for new subscriptions within 14 days of the initial payment (first-time purchasers only). Refunds for renewals may be limited to a 7 days, for more visit refund policy for details. Refunds are at our discretion in accordance with the published policy.
SECTION 4 – RISK, EDUCATIONAL PURPOSES & NO ADVICE
4.1 Educational Use Only. All Services, content, and materials are provided for educational and informational purposes only. They do not constitute investment, financial, legal, or tax advice and should not be relied upon as such.
4.2 No Financial Advice / No Trading Execution. Simply Algos is not a broker, dealer, advisor, or trading platform. We do not provide personalized investment recommendations, trade execution, or custody services.
4.3 User Responsibility & Risk. Trading and investing involve substantial risk, and many participants lose money. Any decisions to buy, sell, hold, or trade are made at your own risk and you should consult a qualified financial professional before making such decisions. Past performance is not indicative of future results.
4.4 Hypothetical & Simulated Results. Any examples, backtests, or simulated results are for demonstration only and do not represent actual trading. Simulated results have limitations and are based on historical data; no representation is made that you will achieve similar results.
4.5 Publisher’s Exclusion (U.S. reference). Simply Algos is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities authority. Simply Algos relies on the publisher’s exclusion under Section 202(a)(11)(D) of the Investment Advisers Act of 1940 and corresponding state laws. Nothing on the Site should be construed as personalized investment advice.
SECTION 5 – INTELLECTUAL PROPERTY
5.1 Ownership. All content, software, text, graphics, logos, icons, and materials on the Site are owned or licensed by Simply Algos and protected by copyright, trademark, and other laws.
5.2 Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business purposes.
5.3 Restrictions. You must not copy, modify, distribute, reproduce, publicly display, create derivative works of, or exploit the Site or Services beyond the license granted without our prior written permission.
SECTION 6 – THIRD-PARTY SERVICES & TRADEMARKS
6.1 Third-Party Integrations. The Services may integrate with third-party platforms (e.g., TradingView®). Those integrations are subject to the third party’s terms. We are not responsible for third-party services.
6.2 TradingView®. TradingView® is a registered trademark of TradingView, Inc. and has no affiliation with Simply Algos.
SECTION 7 – DISCLAIMERS; WARRANTY; LIMITATION OF LIABILITY
7.1 No Warranties. The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. To the fullest extent permitted by law, Simply Algos disclaims all warranties, express or implied, including accuracy, merchantability, fitness for a particular purpose, and non-infringement.
7.2 Limitation of Liability. To the maximum extent permitted by applicable law, in no event will Simply Algos, its officers, directors, employees, agents, or affiliates be liable for indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of or inability to use the Services, even if advised of the possibility of such damages. Our total cumulative liability for direct damages will not exceed the amount you paid to Simply Algos in the 12 months preceding the claim.
7.3 No Liability for Trading Losses. Simply Algos is not responsible for any trading losses, damages, or costs arising from the use of the Services.
SECTION 8 – INDEMNIFICATION
You agree to indemnify, defend and hold harmless Simply Algos and its officers, directors, employees, agents, affiliates, licensors and suppliers from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of another.
SECTION 9 – PROHIBITED USES
You must not use the Site or Services to:
(a) provide financial advice or trading execution;
(b) operate a fund, brokerage, exchange, wallet, or money transmission business;
(c) make misleading or deceptive claims, guarantees of profit, or “get rich quick” promises;
(d) violate laws or facilitate wrongdoing;
(e) infringe intellectual property or share improperly licensed content; or
(f) interfere with the security or integrity of the Services.
We reserve the right to suspend or terminate accounts that engage in prohibited uses.
SECTION 10 – PRIVACY; DATA PROTECTION
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms. Please review the Privacy Policy for details on how we collect, use, store, and share personal data. By using the Services you agree to the terms of the Privacy Policy.
SECTION 11 – REFUNDS & CANCELLATION (DETAILED)
11.1 Refund Window. New customers may request a refund for their initial subscription payment within 14 days of purchase. Requests should be made to hello@simplyalgos.com. Refund approval is subject to our verification and fraud checks.
11.2 Renewal Refunds. For annual renewals, refunds may be available within a 7 day window after the renewal charge, subject to our discretion and payment processor rules.
11.3 How Refunds Are Processed. Approved refunds are issued to the original payment method and may take several business days to appear.

SECTION 12 – THIRD-PARTY SITES & LINKS
The Site may contain links to third-party websites. We do not control and are not responsible for content, privacy, or practices of those third parties. Links are provided for convenience only.
SECTION 13 – CHANGES TO SERVICES & TERMS
We may modify, suspend, or discontinue the Services (or any part) at any time. We may also update these Terms. If we make material changes, we will provide notice as required by law or by posting on the Site. Continued use constitutes acceptance of changes.
SECTION 14 – GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law rules. You and Simply Algos agree to submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute arising out of these Terms or your use of the Services.
SECTION 15 – TERMINATION
We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services immediately ceases. Sections that by their nature survive termination (such as Indemnification, Limitation of Liability, Intellectual Property, and Governing Law) will continue in effect.
SECTION 16 – MISCELLANEOUS & CONTACT INFORMATION
16.1 Severability. If any provision of these Terms is held invalid, the remainder will remain in force.
16.2 Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Simply Algos regarding the Services.
